In‑House Legal Counsel

About the role

ROX Group is looking for an experienced in‑house Legal Counsel to provide comprehensive legal support for its investment and business operations in Mongolia, focusing on renewable energy and infrastructure projects.

Key responsibilities

• Provide legal advice on corporate, commercial and investment matters and ensure compliance with Mongolian laws and relevant international regulations.
• Draft, review, negotiate and manage commercial contracts, investment agreements and project contracts.
• Support project development activities, including land, environmental, construction and energy licensing matters.
• Liaise with government authorities, regulators and external legal advisors.
• Manage corporate governance documentation, statutory filings and company registrations.
• Identify and mitigate legal and compliance risks across business operations.
• Support dispute resolution, litigation, arbitration and legal claims when required.
• Conduct legal due diligence for investments, financing and strategic transactions.
• Develop internal legal policies, procedures and compliance frameworks.

Required profile

• Bachelor’s degree in Law (Master’s degree is an advantage) and a valid Mongolian lawyer’s license.
• Minimum 5–7 years of legal experience, preferably in renewable energy, infrastructure, construction or foreign‑invested companies.
• Strong experience in drafting and negotiating commercial and investment agreements.
• Solid knowledge of Mongolian corporate, investment, contract, labor, land, tax, environmental and energy laws.
• Experience working with government authorities and regulatory agencies.
• Excellent analytical, negotiation, communication and stakeholder management skills.
• Strong written and spoken English.
