Chief Legal & Governance Officer

About the role

Oyu Tolgoi is seeking a senior executive to lead its Legal & Governance function as the operation expands underground and enters a new growth phase. Reporting to the CEO and working closely with Rio Tinto’s Copper General Counsel, you will shape governance, integrity and risk management across the business.

Key responsibilities

• Lead the Legal & Governance team, delivering commercially focused legal advice aligned with business priorities.
• Partner with the Senior Leadership Team, Board and Board Committees to strengthen governance effectiveness and decision quality.
• Develop and oversee enterprise risk management, compliance and accountability frameworks.
• Build stakeholder confidence with shareholders, government representatives, regulators, employees and local communities.
• Provide strategic legal support for operational, commercial and regulatory matters.

Required profile

• Extensive senior‑level experience in legal and governance leadership, preferably within mining or large industrial enterprises.
• Proven ability to influence board‑level decisions and manage complex stakeholder relationships.
• Deep understanding of corporate governance, risk management and regulatory compliance.
• Strong executive communication and leadership capabilities.
